Terms of Service

This document is provided for your marketplace launch and should be reviewed by a licensed attorney before public release. It is not legal advice.

These Terms of Service ("Terms") govern your access to and use of Xoaks.com and related services operated under the Xoaks brand (the "Platform"). Techmeeting LLC ("we," "us," or "our") operates the Platform. Xoaks.com is a product and brand operated by Techmeeting LLC. A separate Xoaks company may be formed in the future; if that occurs, these documents will be updated and users may be notified as required by law. By accessing or using the Platform, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the Platform.

1. Acceptance and eligibility

These Terms form a binding agreement between you and Techmeeting LLC. If you use the Platform on behalf of a business, you represent that you have authority to bind that business.

You must be at least 18 years old and able to form a binding contract to use the Platform. The Platform is intended for users located in the United States.

2. What Xoaks is (marketplace only)

Xoaks is an online marketplace, offered through Xoaks.com and related services operated under the Xoaks brand (the "Platform"), that helps customers discover independent service professionals (“Pros” or “Contractors”) for home and commercial services such as HVAC, appliance repair, plumbing, electrical work, and related categories.

Techmeeting LLC does not perform services, employ Pros, or act as a general contractor. Pros are independent businesses or individuals, not employees, partners, or agents of Techmeeting LLC. Any service agreement is directly between the customer and the Pro.

We do not guarantee that a customer will find a Pro, that a Pro will receive leads or jobs, or that any particular outcome will occur. Badges such as “Licensed,” “Verified,” or “Online” reflect information supplied by the Pro and/or limited checks we perform at a point in time; they are not a warranty of quality, safety, or fitness for a particular job.

3. Accounts and registration

Some features require an account. You agree to provide accurate, current information and to keep your credentials secure. You are responsible for activity under your account.

Pros may be required to verify a phone number and complete address or identity review before appearing in customer search. We may approve, deny, suspend, or remove listings at our discretion to protect users and the Platform.

You may not create multiple Pro accounts to evade suspension, misrepresent identity, or circumvent our policies without our written permission.

4. Customer use

Customers may search by location and service category, view Pro profiles, and contact Pros through call, text, or booking request features offered on the Platform.

You are solely responsible for evaluating Pros, verifying credentials where important to your project, and negotiating price, scope, and schedule directly with the Pro.

Submitting a booking request or lead does not guarantee availability, response time, or completion of work. Do not share sensitive payment card details through unsecured channels.

5. Pro (contractor) use

Pros may create a profile, list skills and service areas, upload work photos, set pricing information, manage online availability, and receive leads in an orders inbox.

Pros represent and warrant that they hold all licenses, permits, and insurance required for the services they offer in each jurisdiction where they work; that their profile information is truthful; and that they will comply with applicable federal, state, and local laws, including marketing and privacy laws.

Pros must honor customer opt-out requests for calls, texts, and emails as required by law. Pros must not use customer contact information for unrelated marketing.

6. Fees and payments

Access to the Platform may be free during beta periods. We may introduce subscription fees, lead fees, or other charges with advance notice.

Unless we expressly offer in-platform payment processing, payments for services are arranged directly between customers and Pros. Techmeeting LLC is not a party to those transactions and is not responsible for billing disputes between users.

7. User content and license

You retain ownership of content you submit (photos, reviews, profile text, messages, and similar materials) (“User Content”). You are solely responsible for User Content and represent that you have all rights needed to post it.

You grant Techmeeting LLC a non-exclusive, worldwide, royalty-free license to host, store, reproduce, display, and distribute User Content on and through the Platform for operating, promoting, and improving the Platform, in accordance with our Privacy Policy. This license ends when User Content is deleted from our systems, except for reasonable backup and legal retention periods.

We may remove content that violates these Terms, applicable law, or that we reasonably believe is harmful to the Platform or other users.

8. Prohibited conduct

  • Misrepresenting identity, qualifications, business name (DBA, LLC, S-corp), address, or services offered.
  • Creating fake reviews, manipulating ratings, or submitting false booking requests.
  • Harassment, discrimination, illegal content, or unsafe conduct.
  • Scraping, reverse engineering, or unauthorized automated access to the Platform.
  • Circumventing fees, verification, or safety measures; soliciting users for unrelated commercial purposes.
  • Using the Platform for unlawful purposes or in violation of export, sanctions, or consumer protection laws.

9. Verification and identity documents

We may request verification of phone numbers, business information, and address. In the future, we may request government-issued identification for manual review. If implemented, ID images will be used only for verification, stored securely for a limited period, and deleted after approval or within a short retention window as described in our Privacy Policy.

We may maintain a one-way hash of document identifiers to help prevent duplicate accounts, without storing readable ID numbers long-term when that feature is enabled.

10. Disclaimers

THE PLATFORM AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, TECHMEETING LLC DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Techmeeting LLC is not liable for the acts or omissions of any Pro or customer, for quality of workmanship, property damage, personal injury, or disputes arising from services performed off the Platform.

11. Limitation of liability

To the maximum extent permitted by law, Techmeeting LLC and its members, managers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, data, or goodwill.

Our total liability for any claim arising out of or relating to the Platform or these Terms will not exceed the greater of (a) one hundred U.S. dollars ($100) or (b) the amount you paid to Techmeeting LLC in the twelve (12) months before the event giving rise to the claim.

Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted by law.

12. Indemnification

You agree to defend, indemnify, and hold harmless Techmeeting LLC from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your use of the Platform, your User Content, your services as a Pro, or your violation of these Terms or applicable law.

13. Disputes between users

Disputes between customers and Pros should be resolved directly between those parties. Techmeeting LLC may, but is not obligated to, assist with communication or provide lead records where appropriate.

14. Dispute resolution, arbitration, and class waiver

Except where prohibited by law, you and Techmeeting LLC agree that disputes arising out of or relating to these Terms or the Platform will be resolved by binding individual arbitration, not in court, except that either party may bring qualifying claims in small claims court.

YOU AND TECHMEETING LLC WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION OR CLASS ARBITRATION. The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to resolve that party’s claim.

California residents: You may have additional rights under the California Consumer Privacy Act and other California laws. Nothing in this section limits non-waivable consumer rights under California law. If you are a Pro classified as an employee under California law, mandatory arbitration may not apply to employment-related claims.

You may opt out of arbitration within thirty (30) days of first accepting these Terms by emailing xoakscom@gmail.com with your name, account email, and a clear opt-out statement.

15. California users

If you are a California consumer, the California Consumer Legal Remedies Act and other state consumer laws may apply. Pros offering services in California must comply with California licensing, advertising, and contractor rules applicable to their trade.

Under California Civil Code § 1789.3, California users may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs in writing at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or by telephone at (800) 952-5210.

16. General terms

These Terms, together with the Privacy Policy and any additional terms referenced on the Platform, are the entire agreement between you and Techmeeting LLC regarding the Platform.

We may modify these Terms by posting an updated version and updating the effective date. Material changes may require additional notice where required by law. Continued use after changes become effective constitutes acceptance.

If any provision is unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.

These Terms are governed by the laws of the State of California, without regard to conflict-of-law rules, except where federal law applies or where your state of residence requires otherwise for non-waivable consumer protections.
